Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and FixAdSpend ("FixAdSpend", "we", "us", or "our") governing your access to and use of fixadspend.ai and the FixAdSpend application (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

FixAdSpend is an AI-powered platform that audits advertising accounts, identifies wasted ad spend, and provides optimization recommendations and, where you enable it, automated actions across connected advertising and e-commerce platforms. Features, plans, and limits may change over time as we improve the Service.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Please notify us promptly of any unauthorized use.

4. Subscriptions, Billing, and Refunds

• The Service is offered through free and paid plans with different features and usage limits.
• Paid plans are billed in advance on a recurring basis until cancelled.
• By upgrading to a paid plan you authorize us and our payment processor to charge the applicable fees.
• You can change or cancel your plan at any time; changes take effect at the next billing cycle and access continues until the end of the current period.
• Except where required by law, fees already paid are non-refundable.
• If you exceed your plan's usage limits, additional usage may be billed at the rate for your tier, or the Service may be limited until the next billing cycle.

5. Connected Platforms and Your Responsibilities

The Service works by connecting to third-party platforms such as Meta Ads, Google Ads, and Shopify. When you connect a platform you authorize FixAdSpend to access, and where you enable it act on, your data through that platform's API.

• You represent that you have the right to connect each account and to authorize this access.
• You remain responsible for complying with the terms, policies, and advertising rules of every connected platform.
• When you enable automated actions or AI agents, you authorize FixAdSpend to make the approved types of changes — such as pausing campaigns or adjusting budgets — on your behalf, and you are responsible for reviewing and for the outcomes of those changes.
• You can revoke access at any time by disconnecting the platform from the Integrations page.

6. Acceptable Use

You agree not to misuse or interfere with the Service, attempt to gain unauthorized access to it, reverse engineer or resell it except as expressly permitted, upload unlawful, infringing, or harmful content, or use the Service to violate any law or the rights of others.

7. AI Recommendations and No Performance Guarantee

FixAdSpend provides audits, estimates, and AI-generated recommendations to help you make decisions. These are informational only. Advertising results depend on many factors outside our control, and we do not guarantee any specific savings, return on ad spend, revenue, or other outcome. You are solely responsible for the advertising and business decisions you make.

8. Intellectual Property

The Service, including its software, design, and content, is owned by FixAdSpend and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. You retain all rights to your own data and grant us only the limited rights needed to operate and provide the Service to you.

9. Feedback

If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them to improve the Service, without any obligation to you.

10. Third-Party Services

The Service relies on and links to third-party services. We are not responsible for the availability, content, or practices of third parties, and your use of their services is governed by their own terms.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that data from connected platforms will always be accurate or complete.

12. Limitation of Liability

To the maximum extent permitted by law, FixAdSpend and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or ad spend, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold FixAdSpend harmless from claims, losses, and expenses, including reasonable legal fees, arising from your use of the Service, your data, or your violation of these Terms or any third-party rights.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if necessary to protect the Service or other users. Provisions that by their nature should survive termination, such as ownership, disclaimers, and limitation of liability, will survive.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising from these Terms or the Service, subject to any mandatory rights you have under the law of your place of residence.

16. Changes to These Terms

We may update these Terms from time to time. When changes are material we will update the "Last updated" date and notify you in the app or by email. Your continued use of the Service after an update means you accept the revised Terms.
